RTL Group Takes Over Alpha Media Group

LUXEMBOURG/ATHENS, September 23: The RTL Group acquired a 66.6-percent majority stake in the Greek broadcasting company Alpha Media Group for 125.7 million euros.

The deal was signed with Dimitris Contominas, the current owner of Alpha Media Group. Under the terms of the deal, the RTL Group will occupy five of the nine seats on the Alpha Media Group Board of Directors and will have the right to nominate the chief executive officer and chief operating officer of the company, while Contominas will nominate the chairman of the Board of Directors.

The transaction is subject to approval by the Greek Competition Commission and is expected to close in October or November. With the closing of the deal, RTL Group will enter the promising Greek TV market. The country’s net TV advertising market grew from approximately 300 million euros in 2001 to more than 500 million euros in 2007 and is projected to deliver annual growth of 6- to 7-percent in the medium-term future.

Alpha Media Group is the number three broadcasting company in Greece and comprises the national TV channel Alpha TV, the regional TV channel Cosmos TV (Thessaloniki), the radio stations Alpha 98.9 and Palmos 98.8 and Plus Productions, Alpha TV’s in-house production company. Alpha Media Group currently generates annual revenue of approximately 100 million euros.

RTL Group vient d’acquérir 66,6 % des parts de la société Alpha Media Group. RTL arrive ainsi sur le marché grec.

Signature importante ce 23 septembre à Luxembourg entre Gerhard Zeiler, Chief Executive Officer à RTL Group et Dimitris Contominas, nouveau responsable de la branche Alpha Media Group. Depuis ce jour, le groupe médiatique grec appartient à 66,6 % à RTL Group. Montant de la transaction: 125,7 millions d’Euros.

Alpha Media Group est le troisième plus important groupe en Grèce avec la station Alpha TV, la chaîne régionale Cosmos TV et les radios Alpha 98.9 et Palmos 98.8. Le revenu annuel généré d’Alpha Media group est de 100 millions d’euros. Sur les 6 premiers mois de l’année 2008, l’audience d’Alpha TV s’est positionnée à 14,5 % de PDM contre 13,6 % en 2007.

A la fin de la conférence de presse, les deux responsables ont tenu à faire quelques déclarations. « L’acquisition d’Alpha Media Group est pour nous une belle opportunité de se lancer sur le marché grec » souligne Gerhard Zeiler de RTL Group. « Alpha Media Group a une position assez solide sur le marché ». Quant à Dimitris Contominas, c’est avec le sourire qu’il débute cette nouvelle carrière au sein d’Alpha Media Group : “Je suis ravi de vous annoncer cette nouvelle alliance stratégique avec ce grand groupe européen. Ce partenariat est un pas important pour conduire Alpha Media Group dans une nouvelle phase de développement. Avec RTL Group, nous allons développer un nouveau business plan ».

RTL says buys majority stake in Greek Alpha Media

FRANKFURT, Sept 23 (Reuters) – Germany’s RTL AUDK.LU bought a 66.6 percent stake in Alpha Media Group for 125.7 million euros ($184.2 million), marking its entrance into the Greek television market.

RTL, Europe’s biggest commercial TV network, said in a statement on Tuesday it had signed an agreement with Dimitris Contominas, the owner of Alpha Media Group, the third-largest TV company in Greece.

The transaction is subject to approval by the Greek competition commission and is expected to close in October or November, RTL said.

Under the terms of the deal, RTL will occupy five of the nine seats on the Alpha Media Group board of directors and will have the right to nominate the chief executive and chief operating officer, while Contominas will nominate the chairman of the board of directors.

RTL said Greece’s net TV advertising market grew to more than 500 million euros in 2007 from around 300 million euros in 2001 and is expected to grow 6 to 7 percent in the medium term.

Alpha Media Group has annual sales of around 100 million euros, RTL said.

The Luxembourg-based broadcaster has interests in 10 European countries and has been looking at most broadcasting assets that come up for sale on the continent, though it has a record of being cautious in what it actually buys.

RTL is owned by media conglomerate Bertelsmann [BERT.UL], which said last month it would consider cutting its stake to 75 percent from 90 percent, freeing RTL shares that could be used as acquisition currency. (Reporting by Nicola Leske; Editing by Hans Peters)
